"You," "your," and "Guest" refer to any person who accesses our website, makes a booking, stays at the resort, or participates in any resort activity or service.

Important Notice: This document contains assumption-of-risk provisions, liability limitations, indemnification obligations, and a release of claims. By making a booking, checking in, or participating in any resort activity, you acknowledge that you have read, understood, and agreed to be bound by these Terms . If you do not agree, please do not proceed with your booking or participation.

1. Introduction and Acceptance

1.1 Welcome to Zen Resort. These Terms of Use (the "Terms") govern your use of our website (www.zenresortbali.com), your booking, stay, and participation in all resort services and activities offered by or through Zen Resort Bali, including but not limited to accommodation, retreats, spa andAyurvedic treatments, yoga, meditation, dietary and wellness consultations, swimming, diving, freediving, snorkelling, excursions, forest walks, and traditional Balinese ceremonies (collectively, the "Services").

1.2 By accessing our website, making a booking, checkingin, or participating in any Service, you confirm that: (a) you are at least 18 years of age or are accompanied by a parent or legal guardian who accepts these Terms on your behalf; (b) you have the legal capacity to enter into a binding agreement; (c) you have read and understood these Terms and our Privacy Policy; and (d) you voluntarily agree to be bound by them.

1.3 Our Privacy Policy forms an integral part of these Terms. Where these Terms refer to "this Agreement," they include both the Terms of Use and the Privacy Policy unless the context requires otherwise.

1.4 We may update these Terms from time to time. The version published on our website at the time of your booking applies to that booking. Material changes will be highlighted on our website. Your continued use of our Services after any update constitutes acceptance of the revised Terms.

2. Bookings and Reservations

2.1 Bookings may be made through our website, our booking platform (SiteMinder), or by contacting our team directly. A booking is confirmed only upon receipt of written confirmation from Zen (a "Booking Confirmation").

2.2 By making a booking, you represent and warrant that: (a) all information provided is accurate, complete, and current; (b) you are authorised to make the booking on behalf of all persons in your party; (c) you have informed all members of your party of these Terms and obtained their agreement; and (d) you accept responsibility and liability for all members of your party, including for their compliance with these Terms.

2.3 Zen reserves the right to refuse or cancel anybooking at its reasonable discretion, including where it reasonably believes information provided is inaccurate or that the booking may pose a safety concern.

3. Pre-Arrival Acknowledgement and Health Screening

3.1 Pre-Arrival Acknowledgement. Prior to arrival, or at check-in at the latest, each Guest (or the booking party leader on behalf of all members) will be asked to sign or electronically confirm a Pre-Arrival Acknowledgement and Waiver form ("Acknowledgement Form") confirming that the Guest has read, understood, and accepted these Terms, the assumption-of-risk provisions, the release and covenant not to sue, and the health disclosure requirements set out herein.

3.2 Health Screening. Before participating in wellness treatments, Ayurvedic consultations, yoga, diving, freediving, snorkelling, swimming, excursions, forest walks, or any otherphysical or dietary activity, each Guest must truthfully and completely disclose all relevant health information on the health screening and medical history form provided by Zen. This includes, without limitation, any pre-existing medical conditions, injuries, allergies, dietary restrictions, pregnancy, mental health conditions, medications, recent surgeries, and any condition that could affect the safety or suitability of any activity or treatment.

3.3 Zen reserves the right to decline, modify, or discontinue any Service for any Guest where, in Zen's reasonable judgement, participation could pose a risk to the Guest's health or safety, or where the Guest has not provided adequate health information. No refund or compensationis payable for Services declined, modified, or discontinued on health or safetygrounds, except to the extent required by applicable law.

3.4 Activity-Specific Waivers. For higher-risk activities including diving, freediving, snorkelling, off-site excursions, and any activities involving watercraft or motorised transport, Zen may require Guests to sign a separate activity-specific waiverand risk acknowledgement form before participation. Guests are advised that such waivers may be required and should allow time for completion before the scheduled activity.

4. Prices and Payment

4.1 All prices are quoted in USD and include applicable taxes and service charges. A 25% deposit is required to confirm your booking, with the balance due onarrival, payable in Indonesian Rupiah.

4.2 Payment is processed through PT NUSA SATU INTI ARTHA (DOKU) Jl. Sunset Garden, Kel. Pemogan, Kec. Denpasar Selatan, Kota Denpasar,Bali 80221. All payment information is handled in accordance with our Privacy Policy.

4.3 Zen reserves the right to correct any errors inpricing prior to or at the time of Booking Confirmation. If a pricing error is identified after Booking Confirmation, Zen will notify you and offer the option to proceed at the corrected price or cancel with a full refund of any amounts paid.

4.4 Chargebacks. If you initiate a chargeback or payment dispute that is ultimately resolved in Zen's favour, you agree to reimburse Zen for all administrative costs, bank fees, and processing charges incurred in connection with the dispute, to the extent permitted by applicable law.

5. Cancellations, No-Shows, Early Departure, and Refunds

5.1 Cancellation Policy. Cancellations made more than 8 days before arrival receive a full refund of the deposit; cancellations within 7 days of arrival forfeit the deposit / are non-refundable. Changes to dates are subject to availability.

5.2 No-Shows.
Guests who fail to arrive on the scheduled check-in date without prior written notice will be treated as a no-show. No-show fee or forfeiture terms, deposit is non-refundable.

5.3 Early Departure.
If you depart before the scheduled check-out date, no refund will be provided for unused nights or Services, except to the extent required by applicable law or expressly agreed in writing by Zen.

5.4 Travel Insurance. Zen strongly recommends that all Guests obtain comprehensive travel insurance covering trip cancellation, medical care, medical evacuation, personal liability, and loss or damage to personal belongings. Failure to obtain adequate insurance does not reduce or limit your obligations under these Terms.

5.5 All cancellation requests must be submitted in writing to contact@zenresortbali.com. The date of receipt by Zen determines the applicable cancellation terms.

6. Health, Wellness Services, and No Medical Relationship

6.1 Wellness Services Disclaimer. Our wellness programmes, Ayurvedic treatments, yoga, meditation, dietary consultations, herbal remedies, and related offerings (collectively, "Wellness Services") are intended solely to support relaxation, general wellbeing, and personal development. They are offered as complementary wellness practices and are not a substitute for professional medical advice, diagnosis, or treatment.

6.2 No Medical Relationship. No doctor-patient, therapist-patient, or other clinical relationshipis created between you and Zen, its practitioners, or staff by virtue of your participation in any Wellness Service. No practitioner at Zen holds themselves out as providing medical diagnosis or treatment unless separately and specifically qualified and licensed to do so under applicable law.

6.3 No Guaranteed Outcome. Zen makes no representations, warranties, or guarantees — express or implied — regarding the outcome, efficacy, or results of any Wellness Service. Individual responses to wellness practices vary. Any benefits described in ourmaterials are general in nature and should not be interpreted as a promise of specific results.

6.4 Independent Medical Advice. You are solely responsible for obtaining independent medical advice from a qualified healthcare professional before booking or participating in any Service, particularly if you have any pre-existing medical condition, injury, allergy, are pregnant, are taking medication, or have any mental or physical health concern. You acknowledge that Zen's wellness practitioners are not qualified to assess or override the advice of your physician.

6.5 Complementary Nature. Any dietary advice, herbal recommendations, lifestyle suggestions, or wellness guidance provided during your stay is intended to complement — not replace — the advice of your own qualified medical practitioners. You shouldnot discontinue or alter any prescribed medication or treatment based on information received at Zen without first consulting your own doctor.

6.6 Right to Refuse or Stop. You have the absolute right to refuse, modify, or stop anytreatment, activity, or consultation at any time and for any reason. If you experience any discomfort, pain, or adverse reaction during any activity or treatment, you must immediately inform the practitioner or staff member.

7. Inherent Risks and Voluntary Assumption of Risk

7.1 Inherent Risks. You acknowledge and understand that participation in the Services involves inherent risks that cannot be entirely eliminated regardless of the care taken. These inherent risks include, without limitation:

•      Physical Activities (yoga, meditation, fitness): muscle strain, sprains, falls, joint injury, overexertion, aggravation of pre-existing conditions, and cardiovascular events;
•      Spa and Ayurvedic Treatments: allergic reactions, skin sensitivity, burns, bruising, adverse reactions to herbs or oils, and emotional responses;
•      Water Activities (swimming, diving, freediving, snorkelling): drowning, near-drowning, decompression illness, barotrauma, ear injury, marine animal encounters, currents, and equipment malfunction;
•      Off-Site Excursions and Transport: road traffic incidents, vehicle breakdown, falls, exposure to uneven or unstable terrain, and delays;
•      Forest Walks and Nature Activities: uneven terrain, falling branches, insect bites or stings, encounters with wildlife, exposure to heat, humidity, or tropical weather conditions;
•      Food, Dietary, and Herbal Programmes: allergic reactions, food intolerance, adverse reactions to unfamiliar ingredients, herbs, or spices, and digestivediscomfort;
•      Traditional Balinese Ceremonies and Spiritual Practices: exposure to incense, smoke, fire, unfamiliar cultural practices, and emotional or psychological responses;
•      General Resort Environment: tropical climate, sun exposure, uneven or wet surfaces, insects, open water features, natural hazards, and infrastructure differences from the Guest's home country.

7.2 Voluntary Participation. Your participation in each and every Service and activity isentirely voluntary. By choosing to participate, you confirm that: (a) you havebeen informed of and understand the inherent risks; (b) you are physically and mentally fit to participate, or have obtained medical clearance; (c) you voluntarily assume all risks of injury, illness, loss, or damage arising from your participation, whether or not described above; and (d) you accept sole responsibility for your decision to participate.

7.3 Informed Consent. By signing the Acknowledgement Form, checking in, or participating in any activity, you confirm that you have had the opportunity to ask questions about the nature and risks of the Services, that any questions have been answered to your satisfaction, and that you freely and voluntarily consent to participate.

8. Release and Covenant Not to Sue

8.1 Release. To the fullest extent permitted by applicable law, and subject to Section 8.3, you, on behalf of yourself and your heirs, executors, administrators, assigns, and personal representatives, hereby release, discharge, and hold harmless Zen, its owners, directors, officers, employees, agents, practitioners, contractors, affiliates, and successors (collectively, the "Released Parties") from any and all claims, demands, actions, causes of action, liabilities, losses, damages, costs, and expenses (including legal fees) arising out of or in connection with your use of the Services, your stay at the resort, or your participation in any activity, howsoever caused, including but not limited to claims arising from the negligence (but not the gross negligence or wilful misconduct) of any Released Party.

8.2 Covenant Not to Sue. To the fullest extent permitted by applicable law, you covenant and agree that you will not sue or bring any claim, action, or proceeding against any Released Party in respect of any matter released under Section 8.1.

8.3 Non-Excludable Rights — Savings Clause. Nothing in this Section 8 or elsewhere in these Terms excludes or limits liability: (a) for death or personal injury caused by gross negligence or wilful misconduct; (b) for fraud or fraudulent misrepresentation; (c) to the extent that such exclusion or limitation is prohibited by Indonesian law, applicable consumer protection law, or any other mandatory law; or (d) for any other liability that cannot lawfully be excluded or limited. Where any jurisdiction limits the scope of a release or waiver, this release shall be construed to apply to the maximum extent permitted in that jurisdiction.

9. Diving, Freediving, and Water Activities

9.1 All diving and freediving activities are subject tocertification requirements, health declarations, and the standards and rules ofthe relevant certifying body by PADI. Guests must complete a medical questionnaire and meet all health andcertification requirements before participating.

9.2 Guests acknowledge that diving, freediving, andsnorkelling carry elevated inherent risks including drowning, decompression sickness, barotrauma, and marine hazards. Guests with cardiac conditions, respiratory conditions, ear/sinus problems, epilepsy, or who are pregnant must not participate without written medical clearance from a physician qualified in dive medicine.

9.3 For the safety of all participants, the decisions of Zen's instructors and dive professionals regarding participation, conditions, dive plans, and abort decisions are final and binding. Zen reserves the right to cancel or modify any water activity due to weather, sea conditions, equipment concerns, or safety considerations without liability for refund or compensation, except to the extent required by applicable law.

9.4 A separate activity-specific waiver may be required before participation in any diving, freediving, or snorkelling activity (see Section 3.4).

10. Guest Conduct, Alcohol, Drugs, and Safety Compliance

10.1 Zen is a place of rest, quiet, and respect — for our guests, our team, our local community, and the natural environment. You agree to behave considerately towards others and to treat the resort's grounds,forest, facilities, and property with care.

10.2 Alcohol and Drugs. Guests who are or appear to be under the influence of alcohol or drugs may be excluded from activities, treatments, and water-based Services without refund. The use, possession, or distribution of illegal drugs on resort premises is strictly prohibited and will result in immediate termination of your stay without refund, and may be reported to Indonesian authorities.

10.3 Compliance with Safety Directions. You must comply with all safety instructions, signage, rules, and directions given by Zen staff, practitioners, instructors, and guides. Failure to comply may result in exclusion from the relevant activity or the resort without refund.

10.4 Zen reserves the right to decline service to, or require the immediate departure of, any Guest whose conduct Zen reasonably considers unsafe, unlawful, threatening, disruptive, or in violation of these Terms, without refund or compensation and without liability, to the extent permitted by applicable law.

11. Children and Minors

11.1 Children and families are welcome at Zen. Children under 18 remain the sole responsibility of their accompanying parent or legal guardian at all times, including around swimming pools, the beach, forest, grounds, and during all activities.

11.2 The parent or legal guardian making or included in a booking accepts these Terms on behalf of all minors in the party and assumes all risks and liabilities relating to their participation. Any reference in these Terms to "you" or "Guest" includes minors under the care of the booking Guest, and the booking Guest's obligations extend to their supervision and conduct.

12. Third-Party Service Providers

12.1 Certain Services or activities may be provided by or arranged through independent third-party providers (e.g., excursion operators, dive centres, transport providers, external practitioners). Where this is the case, Zen acts only as an intermediary or facilitator and is not liable for the acts, omissions, negligence, or defaults of any third-party provider, except to the extent that such liability cannot lawfully be excluded.

12.2 Third-party Services are subject to the terms and conditions of the relevant provider. You are encouraged to review those terms before participation. Your contract for such services is with the third-party provider directly.

13. Personal Belongings and Valuables

13.1 Zen is not responsible for the loss, theft, or damage of any personal belongings, valuables, or equipment brought to or left at the resort, to the fullest extent permitted by applicable law. Guests are advised to use any in-room safes or secure storage provided and to exercisecare with personal property at all times.

14. Allergies, Dietary Risks, and Food

14.1 Zen endeavours to accommodate dietary requirements and allergies notified in advance. However, our kitchen handles a wide variety of ingredients, including common allergens, and cross-contamination cannot be entirely guaranteed against. Guests with severe or life-threatening allergies must inform Zen in writing prior to arrival and carry their own emergency medication (e.g., epinephrine auto-injectors) at all times.

14.2 To the fullest extent permitted by applicable law, Zen shall not be liable for any allergic reaction or adverse response to food, beverages, herbs, or dietary programmes provided at the resort where the Guest has not disclosed the relevant allergy or dietary restriction, or where cross-contamination occurs despite reasonable precautions.

15. Emergency Medical Authorisation and Costs

15.1 In the event of a medical emergency, you authorise Zen and its staff to arrange emergency medical treatment, evacuation, or transport on your behalf where you are unable to give informed consent at the time. This authorisation is given in good faith and does not create any obligation on Zen to provide or fund medical care.

15.2 You are solely responsible for all costs associated with medical treatment, evacuation, repatriation, and any other medical or emergency expenses incurred during or as a result of your stay, whether arranged by you or by Zen on your behalf. Zen strongly recommends that all Guests obtain comprehensive medical and travel insurance that includes coverage for medical evacuation from Bali.

16. Guest Indemnification

16.1 To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of any provision of these Terms; (b) your misconduct, negligence, or reckless behaviour; (c) any damage you cause to Zen's property, facilities, or grounds; (d) any injury, loss, or damage caused to other guests, staff, or third parties by your acts or omissions; (e) any false, misleading, or incomplete health or personal information provided b yyou; and (f) any chargeback, payment dispute, or fraudulent payment initiated by or on your behalf.

16.2 This indemnification obligation does not apply tothe extent that the relevant claim arises from the gross negligence or wilfulmisconduct of a Released Party, or to the extent that this indemnification is prohibited by applicable mandatory law.

17. Limitation of Liability

17.1 Aggregate Liability Cap. Subject to Section 17.3, the total aggregate liability of Zen and the Released Parties to you for any and all claims arising under or in connection with these Terms, your stay, or your participation in any Service shall not exceed the total amount actually paid by you to Zen for the specific Service or stay giving rise to the claim.

17.2 Exclusion of Indirect Loss. Subject to Section 17.3, in no event shall Zen or any Released Partybe liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, business, goodwill, data, opportunity, or anticipated savings, howsoever arising, even if advised of the possibility of such damages.

17.3 Non-Excludable Carve-Outs. Nothing in this Section 17 excludes or limits liability: (a) for death or personal injury caused by gross negligence or wilful misconduct; (b) for fraud or fraudulent misrepresentation; (c) under any mandatory provision of Indonesian consumer protection law (including Law No. 8 of 1999 on Consumer Protection, as may be amended or replaced) or other applicable mandatory law; or (d) for any other liability that cannot lawfully be excluded, restricted, or limited.

18. Claim Notice Period

18.1 To the extent permitted by applicable law and without prejudice to any non-waivable statutory limitation period, you must notify Zen in writing of any claim, complaint, or dispute arising under or in connection with these Terms within thirty (30) days of the event giving rise to the claim. Failure to provide timely notice may limit or extinguish your right to bring a claim, to the extent permissible under applicable law. This clause does not purport to reduce any minimum statutory limitation period.

19. Force Majeure

19.1 Zen shall not be liable for any failure or delay in providing Services due to events beyond its reasonable control, including but not limited to: natural disasters, volcanic eruption, earthquake, tsunami, flooding, extreme weather, epidemic or pandemic, fire, power or water disruption, telecommunications failure, government action, civil unrest, war, terrorism, strikes, or any act of God (each a "Force Majeure Event").

19.2 In the event of a Force Majeure Event, Zen will use reasonable efforts to resume Services as soon as practicable and to offer alternative arrangements where possible. Where Services cannot be provided due to a Force Majeure Event, Zen's liability shall be limited to a pro-rata creditor refund for the affected Services not provided, subject to the terms of any applicable booking or insurance policy.

20. Availability, Substitution, and Programme Changes

20.1 Zen endeavours to provide all Services, practitioners, and programmes as described in its materials. However, specific practitioners, therapists, instructors, menus, and programme schedules may bechanged, substituted, or cancelled at Zen's discretion due to availability, weather, safety concerns, or operational requirements.

20.2 Where a material change occurs, Zen will usereasonable efforts to provide a suitable alternative of comparable quality. Such changes do not entitle the Guest to cancellation, refund, or compensation unless the change is so material as to fundamentally alter the nature of the Service booked, in which case Zen will offer a reasonable alternative or pro-rata refund.

21. Website Use and Intellectual Property

21.1 All content on our website — including text, images, photography, design, logos, and layout — is owned by Zen or used with permission, and is protected by copyright and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any website content without our prior written consent.

21.2 We aim to keep the website accurate and available but do not guarantee that it will always be error-free, uninterrupted, or free from viruses or harmful components. Our website may contain links to third-party sites (such as our booking platform); we are not responsible for their content, accuracy, or practices.

22. Severability

22.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be severed or modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. The invalidity of any provision in one jurisdiction does not affect its validity in any other jurisdiction.

23. Waiver

23.1 No failure or delay by Zen in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. A waiver of any breach shall not constitute a waiver of any subsequent breach. No waiver shall be effective unless made in writing and signed by an authorised representative of Zen.

24. Assignment

24.1 You may not assign or transfer any of your rights or obligations under these Terms without Zen's prior written consent. Zen may assign or transfer its rights and obligations to an affiliate, successor, or acquirer of all or substantially all of its assets without your consent.

25. Entire Agreement

25.1 These Terms (including our Privacy Policy, together with the Booking Confirmation, the Acknowledgement Form, and any activity-specific waivers, constitute the entire agreement between you and Zen regarding the subject matter herein, and supersede all prior or contemporaneous oral or written representations, agreements, or understandings. Nothing in this clause excludes liability for fraudulent misrepresentation.

26. Language and Translation

26.1 These Terms are drafted in English. If these Terms are translated into any other language, the English-language version shall prevail in the event of any inconsistency or dispute, to the extent permittedby applicable law.

27. Electronic Acceptance

27.1 You agree that electronic acceptance of these Terms (including by clicking "I agree," completing an online booking, or submitting an electronic Acknowledgement Form) has the same legal effect as a handwritten signature, to the extent permitted by applicable law, including Indonesian Law No. 11 of 2008 on Electronic Information and Transactions (as amended).

28. Governing Law and Dispute Resolution

28.1 These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia.

28.2 Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of Kantor Panitera Pengadilan Negeri of Singaraja, Bali, Indonesia, subject to the mandatory consumer protection laws of your country of residence where applicable.

28.3 Nothing in this Section prevents a Guest from exercising rights under the mandatory consumer protection laws of their country of residence, including the right to bring proceedings in their home jurisdiction where such right cannot be contractually waived.
